About this page

This page answers 16 common questions on using a Singapore VCC for a single family office or a business owner, grouped into basics, the manager and the two tax tracks, family structures and businesses, and filings. Each answer gives the conclusion first and then the basis: MAS Circular FDD Cir 05/2026 (31 July 2026), the MAS SFO licensing exemption FAQs (12 June 2026), the IRAS VCC tax framework, fourth edition (22 April 2026), ACRA pages and the current text of the VCC Act. Where no published rule answers a question, we say who to confirm it with.

Basics

Does a family office have to use a VCC to get 13O?

No. Section 13O is available to approved funds that are companies incorporated and resident in Singapore, so a private limited company can also be the applicant; 13U covers a wider range of approved vehicles (MAS FDD Cir 05/2026, para 2.5). The case for a VCC rests on sub-fund segregation, NAV-based entry and exit, and a register of members that is not public.

Is a VCC itself a tax incentive?

No. A VCC is a legal fund vehicle under the VCC Act 2018 and is taxed as a company at 17%. Exemption of specified income depends on a separate 13O, 13OA or 13U award from MAS, and IRAS says a VCC will only be considered for 13G, 13O and 13U (Tax Framework for VCCs, 4th edition, para 5.7, 22 April 2026).

Is a sub-fund a separate company?

No. Section 32 of the VCC Act states that a sub-fund is not a legal person separate from the VCC. Its assets and liabilities are nonetheless segregated (s 29), it can be wound up as if it were a legal person (s 33), and for tax a certificate of residence is issued in the umbrella VCC's name listing the sub-funds.

Is the register of members really private?

It is not open to the public, but it is not anonymous. Under section 82, the manager, the custodian (for an umbrella VCC, a sub-fund's custodian, and only for that sub-fund's members), public authorities acting for law enforcement and holders of a court order can require it. Every VCC must also appoint an eligible financial institution to identify customers and beneficial owners and keep a register of beneficial owners (MAS Notice VCC-N01).

Manager and the two tax tracks

Can our single family office act as the VCC's manager?

There is no express answer to rely on. Section 46(2) of the VCC Act lists a licensed fund management company, institutions in SFA section 99(1)(a)–(d), and prescribed persons; it does not name an SFO operating under the class exemption. MAS does allow such an SFO to manage a 13O/13U fund, so the family should obtain a Singapore legal opinion or confirm with MAS before relying on that structure.

What changed for SFOs on 15 June 2026?

A qualifying SFO now relies on a class exemption instead of a case-by-case exemption. It must be incorporated in Singapore, file a notice with MAS within 14 days of starting operations, bank with an MAS-licensed bank (a foreign-incorporated fund vehicle may use a regulated bank in a FATF-standard jurisdiction), and file an annual return within four months of its financial year end. Existing SFOs have until 15 June 2027 (MAS SFO FAQs, 12 June 2026).

Can a family office obtain a fund management licence just to use a VCC?

MAS says it will not grant a licence to a company that manages only its own assets so that it can qualify for tax incentives or use fund structures requiring a licensed manager, and applicants need credible plans to manage third-party money (SFA 04-G05, para 3.4). The licence route is for genuine third-party fund management.

What is the difference between an SFO fund and a non-SFO fund?

An SFO fund holds assets mainly from one family and is managed by an exempt SFO; any other fund is a non-SFO fund. Non-SFO funds, typically run by licensed managers, need third-party capital or a bona fide intention to raise it. Classification where an SFO only advises or co-manages should be confirmed with MAS in writing (FDD Cir 05/2026).

What are the main SFO-fund conditions for new awards?

For awards from 1 August 2026: a 13O/13OA SFO fund needs S$20 million of AUM in designated investments at application and each basis period end, and at least two qualifying investment professionals, one not a family member; 13U needs S$50 million and three professionals. Local spending is tiered from S$200,000 to S$1 million, plus a capital deployment requirement and a private banking account.

What happens if conditions are missed in a year?

Under the current rules, exemption is not available for the year of assessment linked to that basis period. The same applies if the Annual Declaration is not filed within four months after the basis period, and MAS may terminate the award. Incentives therefore need to be maintained every year; the schemes run to 31 December 2029.

Family structure, trusts and business owners

Who counts as a family member for an SFO?

MAS defines family members as all lineal descendants of a common ancestor, including current or former spouses, adopted children, stepchildren, parents-in-law and siblings-in-law. The common ancestor must be no more than five generations removed from the youngest generation that set up the SFO (MAS SFO FAQs, FAQ 2).

Can a family trust hold the VCC shares?

Yes. MAS states that an SFO can be held through a trust, foundation or other legal structure, and family trusts are among the clients an SFO may serve. A private trust company acting as trustee may be exempt from licensing if it appoints a licensed trust company for AML compliance and notifies MAS within one month.

Can the family's operating company be placed in the VCC?

It depends on the track. An SFO fund may hold the family's operating businesses with no holding limit, but those holdings do not count towards minimum AUM in designated investments; a non-SFO fund may not hold them. A VCC cannot carry on a business itself, because its sole object is to be a collective investment scheme (VCC Act s 15).

What stamp duty applies when shares move into or within a VCC?

Share transfers generally attract 0.2% on the higher of the price or the value, with unlisted shares valued at net asset value. Each sub-fund is a separate person for stamp duty, so transfers between sub-funds may be dutiable, and transfers without an instrument must be notified within 14 days. Reconstruction reliefs may apply, subject to IRAS review.

Filings, cost and succession

What does a family office VCC file each year?

Three lines: ACRA (general meeting within six months and annual return within seven months of year end, audited accounts with separate sub-fund accounts); MAS (SFO annual return and the 13O/13U Annual Declaration); IRAS (one Form C, estimated chargeable income and, where applicable, CRS registration by 31 March and returns by 31 May).

Does Singapore tax a VCC's shares on death?

Singapore removed estate duty for deaths on or after 15 February 2008, and a VCC has perpetual succession. Transferring shares on death usually still needs a grant of probate or letters of administration, and family members resident in mainland China, Hong Kong or elsewhere should take local advice on inheritance and tax.
