Process overview
Setting up a VCC for a single family office (SFO) is a matter of turning "what the family wants" step by step into "a VCC registered with ACRA, an SFO that has notified MAS, a 13O / 13U award applied for against the conditions, and filings completed on time every year". The ten steps below are in sequence, and each covers the documents needed, timing, who does it and common sticking points. Timings are given only where a regulation or official page states a deadline; actual time taken by bank account opening, legal opinions, MAS review and similar stages varies case by case, and this site makes no commitment on them.
| Stage | Steps | Key outputs | Main counterparties |
|---|---|---|---|
| Family decisions | 1–3 | Asset list and source-of-wealth materials; advice on manager arrangement and tax track; design of shareholders, share classes and sub-funds | Family, lawyer, tax adviser |
| Incorporation and accounts | 4–7 | Directors, company secretary, auditor, fund administrator and custodian in place; VCC and sub-funds registered; bank accounts; EFI and register of beneficial owners | ACRA, banks, EFI |
| Notification and tax incentives | 8–9 | SFO notification of commencement; 13O / 13U application and award letter | MAS |
| Annual compliance | 10 | AGM, annual return, audit, SFO annual return, 13O / 13U Annual Declaration, IRAS and CRS filings | ACRA, MAS, IRAS |
The steps depend on one another: until the manager arrangement (step 2) is settled, the ACRA registration (step 5) cannot include the manager's declaration of consent; until bank accounts (step 6) are open, the account conditions of the SFO class exemption and of 13O / 13U cannot be met.
Stage one: family decisions
Step 1: confirm the family's objectives, asset list and source-of-wealth materials
- Documents: a list of family members and their relationships (checked against MAS's five-generation definition of "family members"); a list of assets to be included (listed securities, private investments, cash, operating-company shares and so on); an explanation of source of wealth and source of funds with supporting evidence.
- Timing: no statutory deadline; how complete the materials are directly determines how quickly bank and EFI due diligence proceeds later.
- Who does it: led by the head of the family, compiled by the head of the family office or an external adviser, reviewed by a lawyer.
- Common sticking points: the assets include operating-company shares, but an SFO fund's investments in operating businesses do not count towards minimum AUM in designated investments, and a non-SFO fund may not hold them (FDD Cir 05/2026, Annex 11); where key employees or people outside the family intend to contribute money, check whether this would exceed the 10% cap under the SFO class exemption.
Step 2: decide the manager arrangement and the tax track
- Documents: a proposed manager arrangement (one of three: licensed external manager, SFO as adviser / co-manager, or SFO self-management); a Singapore lawyer's opinion on eligibility as statutory manager; a tax adviser's analysis of the SFO-fund or non-SFO-fund track.
- Timing: no statutory deadline; if a written query to MAS (FO_13OU@mas.gov.sg) is needed, allow time for a reply.
- Who does it: decided by the family and the head of the family office, with opinions from fund counsel and the tax adviser.
- Common sticking points: s 46(2) of the VCC Act does not expressly name an SFO operating under the class exemption, so whether an SFO can act as a VCC's statutory manager requires legal advice or confirmation from MAS; a non-SFO fund must have third-party investors or a genuine intention to raise capital (circular, para 3.1). See Manager arrangements. If the family opts to set up a new licensed fund management company, MAS reviews a complete application in "up to 6 months", and will not license a company that manages only its own assets (MAS, 29 Aug 2024; SFA 04-G05).
Stage two: incorporation and accounts
Step 4: appoint directors, company secretary, auditor, fund administrator and custodian
- Documents: directors' consents and identity documents; appointment documents for the company secretary and auditor; service agreements with the fund administrator and custodian (if applicable); incorporation documents for the SFO company itself (the SFO must be incorporated in Singapore).
- Timing: the company secretary must be appointed within 6 months of the VCC's registration, and the auditor within 3 months (ACRA, 29 Jan 2026).
- Who does it: the family selects service providers, and the company secretary coordinates signing.
- Common sticking points: a VCC must have at least one director ordinarily resident in Singapore, and at least one director who is a director or qualified representative of the manager (VCC Act s 48(1)); the audit exemption in sections 205B and 205C of the Companies Act does not apply to VCCs, so the auditor should be in place early.
Step 5: name application and ACRA registration (including sub-funds)
- Documents: name application; registration lodgement (including the fund manager's UEN and its "signed declaration of consent and qualifications"); constitution; sub-fund registration applications.
- Timing: ACRA states that "Registrations take 14 to 60 days to approve" (19 Oct 2026), including any referral for approval; a sub-fund must be registered within 7 days of being established (s 27(1)).
- Fees: name application S$15, VCC registration S$8,000, each sub-fund registration S$400 (ACRA, 29 Jan 2026).
- Who does it: a company secretary or corporate service provider; "Foreigners without Singpass must engage a CSP to register for you".
- Common sticking points: the manager has not yet given its declaration of consent; the name clashes with an existing entity; the 7-day registration deadline is missed after a sub-fund is established.
Step 6: open bank accounts and a private banking account for the SFO and the VCC
- Documents: certificate of registration, constitution, documents for directors and authorised signatories, beneficial ownership and source-of-wealth materials.
- Timing: subject to each bank's process; this site gives no estimate.
- Who does it: the head of the family office deals with the banks, with documents from the lawyer and company secretary.
- Common sticking points: the SFO class exemption requires that "The SFO and its fund vehicle(s) must each open and maintain a bank account with a MAS-licensed bank" (MAS FAQ 1); a fund vehicle incorporated overseas may open its account with a MAS-licensed bank in Singapore or with a regulated bank in a jurisdiction meeting FATF standards (FAQs 1, 10). A 13O / 13U SFO fund must also hold a private banking account with a MAS-licensed financial institution at application and throughout each basis period (circular, para 4.5(c)). The two types of account have different conditions and one cannot substitute for the other. Practical guidance on opening accounts is on the sister site hnwi.sg.
Step 7: appoint the EFI and set up the register of beneficial owners
- Documents: EFI appointment agreement; customer due diligence documents; register of beneficial owners; AML/CFT policy.
- Timing: should be completed before the VCC accepts investors and commences business; the precise timing is subject to the advice of the EFI and lawyers.
- Who does it: the VCC's board appoints the EFI, the EFI carries out the checks, and the company secretary maintains the register.
- Common sticking points: MAS Notice VCC-N01 requires a VCC to appoint an eligible financial institution to carry out checks and to be "maintaining a register of beneficial owners" (as amended 30 Jun 2025); with trusts or multi-tier holding structures, the documents tracing through to the ultimate individuals are often the most time-consuming.
Stage three: notifying MAS and applying for the tax incentive
Step 8: the SFO submits its notification of commencement of business to MAS
- Documents: Notice of Commencement of Business; if a service provider files using its own Corppass, a declaration signed by the family member providing the assets and one director of the SFO must be attached (MAS FAQ 8).
- Timing: a new SFO must file within 14 days of commencing business in Singapore (MAS FAQ 3); SFOs already in existence before 15 June 2026 have a one-year transition period to 15 June 2027 (FAQ 4).
- Who does it: an SFO director or a service provider acting on its behalf.
- Common sticking points: MAS does not require a legal opinion for this (FAQ 9), but notification is not "approval"; the SFO must continue to meet the class exemption conditions.
Step 9: apply to MAS for the 13O / 13U tax incentive
- Documents: application form and supporting documents; employment documents and credentials of investment professionals; evidence of AUM in designated investments; plans for local business spending and capital deployment; evidence of the private banking account.
- Timing: MAS does not commit to a review period. A 13O SFO fund awarded on or after 1 August 2026 may have only 1 qualifying investment professional at application and must have 2 (at least 1 a non-family member) by the end of the basis period for the first YA, failing which the award is revoked from its start date; a 13U fund may have 2 at application and must reach 3 (circular, paras 4.3–4.4).
- Who does it: filed by the SFO or the manager, with help from the tax adviser.
- Common sticking points: AUM in designated investments must reach S$20 million (13O) or S$50 million (13U) both at application and at the end of each basis period; qualifying investment professionals must be Singapore tax residents earning more than S$3,500 a month, and operations and administrative roles do not count (footnote 18; Annex 11 FAQ 10). The full table of conditions is in The two 13O / 13U tracks.
Stage four: moving into annual compliance
Step 10: complete the first financial year's AGM, annual return, audit and filings
- Documents: audited financial statements (an umbrella VCC must keep separate accounts for each sub-fund); annual return; SFO annual return; 13O / 13U Annual Declaration; Form C; CRS registration and reporting (if applicable).
- Timing: the first financial year may not exceed 18 months (s 98(2)); the AGM must be held within 6 months and the annual return filed within 7 months of financial year end (ACRA; s 97(1)); the SFO's first annual return is due within 4 months of financial year end with no further extensions (MAS FAQs 6, 7); the 13O / 13U Annual Declaration is due within 4 months of the end of the basis period (Annex 12 FAQ 4); CRS Reporting Financial Institution registration is due by 31 March and the annual return by 31 May (IRAS, 9 Sep 2026).
- Who does it: shared among the company secretary, auditor, fund administrator and tax adviser, with board approval.
- Common sticking points: MAS and ACRA calculate deadlines on different bases (financial year versus basis period), which makes omissions easy; ACRA can impose a penalty of up to S$600 for a late annual return; a fund that misses its 13O / 13U Annual Declaration cannot enjoy the exemption for that YA. The full timeline is in Annual compliance and audit checklist.
Common sticking points and how to prepare
| Sticking point | Arises at | How to prepare in advance |
|---|---|---|
| Statutory manager eligibility not confirmed | Steps 2, 5 | Obtain a written legal opinion or a reply from MAS before registration |
| Incomplete source-of-wealth materials | Steps 1, 6, 7 | Compile one pack that banks, the EFI and MAS can all use |
| Investment professionals not in place | Step 9 | Settle the hiring plan and the employing entity before applying, noting that they must be lawfully employed by the fund management company |
| Operating-company shares mixed in | Steps 1, 3 | Separate operating assets from investment assets first; see Restructuring a business owner's assets |
| Deadline bases confused | Steps 5, 10 | Set up a compliance calendar covering ACRA, MAS and IRAS together |
The whole process involves lawyers, tax advisers, a company secretary, an auditor, banks and an EFI working together; the sequence and division of work need to fit the family's situation, and you can register your enquiry through the contact details on this site.
