The VCC in succession planning concerns how a family, having placed its investment assets in a Singapore Variable Capital Company (VCC), hands ownership, sub-fund arrangements and management of the VCC smoothly to the next generation. A VCC is a legal person with perpetual succession, so the founder's death or exit does not bring the fund to an end. Three things need to be designed: how shares are transferred, how sub-funds continue, and how directors and the manager are succeeded. A VCC is not a substitute for a will or a trust, and inheritance procedures remain governed by the law of the relevant jurisdiction. This page applies to Singapore; where family members are in mainland China, Hong Kong or elsewhere, local professional advice is needed.

Four layers that succession must address

When bringing a VCC into succession planning, it helps to check four layers in turn. Many families think only about who gets the shares and overlook the succession of the manager, directors and investment professionals. The result can be that the shares pass smoothly, yet the fund loses that year's tax incentive because the staffing conditions are no longer met.

Layer Question to answer Main basis
Shares Who holds the shares of the VCC or each sub-fund, and how are they transferred when a holder dies or exits? VCC Act; IRAS stamp duty rules
Sub-funds Are sub-funds divided by branch, by generation or by strategy, and how does the next generation take them over? VCC Act ss 27–33
Governance Who may appoint directors, replace the manager and decide on distributions; where are the family's internal rules written down? VCC constitution, shareholders' agreement, family constitution, trust deed
People Can the resident director, the manager's representative and the SFO's investment professionals continue to meet the conditions? VCC Act s 48; FDD Cir 05/2026

A VCC's legal personality comes from the perpetual succession provision in s 16(5)(b) of the Variable Capital Companies Act. The register of shareholders is not open to the public, but public agencies for enforcement purposes, the manager, the custodian (for an umbrella VCC, a sub-fund's custodian, limited to members of that sub-fund) and anyone holding a court order may access it (ACRA; VCC Act s 82). Succession arrangements should therefore not be designed on the premise of confidentiality.

How shares pass to the next generation: transfer, redemption and reissue, or changes within a trust

There are three common routes for moving shares from one generation to the next, each with different duties and document requirements:

Route How it works Stamp duty basis Points to note
Lifetime transfer or gift Parents transfer their VCC or sub-fund shares to their children Charged on the higher of consideration and value (such as NAV); for a gift with no consideration, charged on value (IRAS 4th edn, para 7.8) Duty on instruments executed in Singapore is payable within 14 days (para 7.2)
Redemption and reissue Shares held by the older generation are redeemed and new shares issued to the next generation Ordinary cancellation and issue attract no stamp duty on shares, but if used to effect a transfer they are charged as one (para 7.11) Not a way to avoid stamp duty; the flow of redemption money and the source of wealth must be explainable
Changes within a trust VCC shares are held by a family trust or its holding company, and succession takes effect through the trust's beneficial arrangements No share transfer occurs at VCC level while the registered holder stays the same The trustee's duties and the limits of the settlor's reserved powers must be designed by trust counsel
Transmission on death After a holder dies, the personal representative arranges the transfer of the shares Documents and duties for transmission are subject to the advice of lawyers and IRAS Usually requires a grant of probate or letters of administration; procedure and timing are subject to the court and legal advice

Illustration (hypothetical): a father gives his daughter shares in a sub-fund corresponding to a net asset value of S$5 million, with no consideration. Stamp duty is charged at S$5 million × 0.2% = S$10,000. The figures are hypothetical and only illustrate the basis of charge; the 0.2% rate is from IRAS's stamp duty on shares page (28 Jan 2026).

The advantage of holding through a trust is that the shares need not move with the life and death of individuals, but the questions shift to the trust level: who the trustee is, how beneficiaries are changed and how long the trust lasts. Section 32(1) of Singapore's Civil Law Act sets the perpetuity period at 100 years or any shorter period specified in the instrument (SSO, accessed 22 Oct 2026). Choosing the holding entity is covered in Shareholders and beneficiaries of a family-office VCC, and layering trusts with the VCC in How a VCC layers with family trusts and PPLI.

The sub-fund layer: continuing by branch or generation

An umbrella VCC gives succession a practical tool: within one legal person, sub-funds can be set up for different family branches or generations. Under the Variable Capital Companies Act:

  1. Segregation of assets and liabilities: one sub-fund's assets may not be used to discharge the liabilities of the VCC or another sub-fund, including in a winding up (s 29(1)). The investment results of each branch therefore do not affect one another, but a sub-fund is not a separate legal person (s 32(1)), and the VCC shares themselves remain the shareholders' assets.
  2. Adding sub-funds: a new sub-fund must be registered with ACRA within 7 days of being established (s 27(1)), at a fee of S$400 per sub-fund (ACRA, 29 Jan 2026). Setting up a separate sub-fund when a member of the next generation comes of age or marries is a common practice.
  3. Continuity of tax incentives: Annex 8A FAQ 3 of the MAS circular states that adding a sub-fund to an umbrella fund does not constitute a new award, but that passage comes from an FAQ on closed-end funds in the non-SFO fund section. Whether an umbrella VCC that is a 13O / 13U SFO fund is treated the same way when adding a sub-fund is best confirmed with MAS in writing. Whether a new sub-fund's assets are designated investments still has to be checked item by item.
  4. Accounts and losses: an umbrella VCC must keep separate accounts for each sub-fund (VCC Act s 100(2)); for income tax, losses cannot be set off between sub-funds (IRAS 4th edn, paras 5.11–5.12). Each branch's gains and losses are therefore separate, and any provision in the family constitution for "balancing the branches" cannot rely on consolidation for tax purposes.
  5. Transfers between sub-funds: stamp duty is levied at sub-fund level, and transfers without an instrument must be notified to the Commissioner of Stamp Duties within 14 days (IRAS 4th edn, paras 7.3, 7.7). This cost must be factored in when reallocating assets between generations.

How to divide sub-funds and where the limits lie is covered in Sub-fund segregation for families with an umbrella VCC.

Succession of directors, the statutory manager and investment professionals

Once the shares have passed to the next generation, whether the fund can carry on as usual depends on whether several categories of people continue to meet the conditions:

Role Rule Risk at succession Basis
VCC directors At least one director ordinarily resident in Singapore; at least one director who is a director or qualified representative of the manager Where the founder is also the only resident director, death or leaving Singapore creates a vacancy VCC Act s 48(1)
Statutory manager A VCC must at all times have a manager qualifying under s 46(2); a VCC cannot be its own manager Replacing the manager in a way that moves between the SFO and non-SFO tracks requires a fresh incentive application, with the new award counted from the application date VCC Act s 46; Annex 11 FAQ 4
SFO investment professionals At least 2 for a 13O SFO fund and at least 3 for 13U, including at least 1 non-family member; must be Singapore tax residents earning more than S$3,500 a month Departure of investment professionals who are family members may take the headcount below the threshold FDD Cir 05/2026, paras 4.3, 4.4, footnote 18
Change notifications Additions or replacements among the fund's beneficial owners (beneficiaries, under a trust), the SFO's shareholders / directors / key employees / investment professionals, and new intermediate entities in the holding chain must be notified to MAS in writing Forgetting to notify after transmission of shares Annex 11 FAQ 2

In addition, an SFO may manage money only for "family members". MAS's definition is based on lineal descendants of a common ancestor, including current or former spouses, adopted children, stepchildren, parents-in-law and siblings-in-law; the common ancestor must be no more than five generations from the youngest generation at the time the SFO is set up, all members within those five generations may be served, and later descendants may continue to be served (MAS SFO exemption FAQ 2, 12 Jun 2026). The birth of grandchildren or changes in children's marriages generally do not take anyone outside the definition, but the list still needs to be updated.

How the family constitution, shareholders' agreement, will and trust deed divide the work

Each succession document has its own role, and none can replace another:

Document Nature What it usually covers What it cannot do
VCC constitution The VCC's constitutional document, governed by the VCC Act Share classes, issue and redemption, sub-funds, directors' powers Cannot contravene mandatory provisions of the VCC Act
Shareholders' agreement A contract between shareholders Transfer restrictions, pre-emption rights, voting arrangements, exit mechanisms Binds only the parties to it
Family constitution An internal family governance document Family values, decision-making processes, principles for allocation between branches, conditions for the next generation's involvement Generally serves as an internal governance reference; its legal effect depends on whether it is carried into the constitution, an agreement or trust terms
Will Disposition of personal property on death Who inherits VCC shares held in the individual's own name Does not affect shares already held by a trust or company
Trust deed Rights and duties of trustee and beneficiaries Class of beneficiaries, conditions for distributions, protector and settlor's reserved powers Poor drafting may affect the trust's validity and its tax treatment

In practice, principles in the family constitution (for example "one sub-fund per branch" or "members of the next generation join the board only after reaching a certain age") need to be written into the VCC constitution, a shareholders' agreement or the trust deed before they take an enforceable form.

Cross-border families: what to consider beyond the absence of estate duty in Singapore

IRAS explains that estate duty is no longer levied on persons dying on or after 15 February 2008 (IRAS, 9 Mar 2026); under current Singapore tax law (ITA s 13(1)(za); IRAS 4th edn, para 5.5), distributions from a Singapore tax-resident VCC are exempt from Singapore income tax in shareholders' hands, though the shareholder's own jurisdiction (such as mainland China or Hong Kong) may tax them. This is only the Singapore side of the picture. Cross-border families should at least also check:

  1. Inheritance and tax where shareholders live: mainland China, Hong Kong and other jurisdictions treat inheritance, gifts and foreign income differently; local professional advice is needed.
  2. Inheritance procedure: when a non-resident of Singapore dies, VCC shares in their name usually require a grant of probate or letters of administration before they can be transferred; procedure and timing are subject to the court and legal advice.
  3. CRS exchange of information: a collective investment scheme is an Investment Entity, and where investors hold directly or are named in its register, the scheme is responsible for reporting (IRAS CRS e-Tax Guide, para 5.6). Once members of the next generation become shareholders, their jurisdiction of tax residence may receive the relevant information.
  4. Changes in the next generation's status: once children settle overseas or acquire another nationality or tax residence, the way they hold shares (personally or through a trust) may need to be adjusted.

Summary: a checklist before succession

  1. Who currently holds the shares of the VCC and each sub-fund, and which transfer route applies when the holder changes?
  2. On what basis is stamp duty on the share transfer calculated, and does it involve transfers between sub-funds?
  3. Are there successors in place for the resident director, the manager's representative and the investment professionals, and is the non-family investment professional in post?
  4. Have the principles in the family constitution been written into the VCC constitution, a shareholders' agreement or the trust deed?
  5. Has local advice been obtained on the inheritance, tax and CRS implications in each family shareholder's jurisdiction?
  6. After transmission of shares, are the ACRA and MAS change notifications in the calendar (see Annual compliance checklist)?
